3. Mother tongue level English – a MUST

Responsibilities
Financial Statements and SEC reports: Consolidation of Company results and preparation of the Financial Statements
Assist with the explanations for SEC reports, i.e., MD&A and Liquidity and quarterly financial press releases•
Preparation of the Audit Committee materialsFundraisings:•
Preparation of SEC reports for Fundraisings (registration statements)•
Flow of funds managementEquity:•
Maintain the company capitalization table•
Equity accounting (Black and Scholes, EPS, etc.,)• Administer all option and restricted share agreements
• Liaison with option tax trustee and transfer agent• Investor inquiries and tax issues
SOX:
• Compose companywide policies and procedures
• Cycles: Financial Statement close/entity level controls, payments & A/P, Equity, payroll direct FP&A Support of Research and Development:
• Forecast, budgets, strategic plans for R&D and Quality functions
• FDA project support and analysis and ensuring budget compliance
• Development projects support and analysis and ensuring budget compliance tax and Regulatory Reporting:
• Preparation of tax reports
Other:• Oversee of Israel, Europe and US payroll• Shareholder Meetings support (proxy statements and solicitor interaction)• Compliance with Nasdaq requirements
