Overview

A global law firm currently has an excellent full-time U.S. Paralegal opportunity in the Corporate Department in our Tel Aviv location. We offer competitive compensation and an excellent benefits package.

Position Summary:
The U.S. Corporate Paralegal position will provide organizational and practice specific assistance to attorneys in the Corporate Securities Department in all stages of corporate transactions including related research and analysis. Candidate should also be flexible to work overtime as needed.

Duties & Responsibilities:

  • Coordinates and manages multiple transactional closings including, private company financings,
    mergers and acquisitions, joint ventures, real estate acquisitions, dispositions, financings, and strategic investments
  • Prepare and file Form IDs with the SEC to obtain EDGAR codes
  • Prepare and file Form Ds with the SEC and the states
  • File Form Ds with the states, either electronically through EFD or by paper
  • Perform blue sky research re: state exemptions
  • Prepare and file state registration and/or exemption documents
  • Prepare first drafts of response letters to state comment letters
  • Monitor/track state status of registrations and/or exemptions
  • Monitor/track and prepare annual state registration and/or exemption renewals;
  • Prepares of Section 16 filings (Form 3, 4 and 5)
  • Preparation of SC13G, SC13D, 13H, 13F, and 6K filings
  • Maintains timely and accurate timekeeping records
  • Knowledgeable in the Authentication/Apostille Legalization process
  • Assists with due diligence procedures, online and factual searches; organization of due diligence
    materials
  • Prepares all documents required to form corporations, partnerships and limited liability
    companies
  • Prepares documentation for amendments, withdrawals, mergers and dissolutions of corporations,
    partnerships and limited liability companies
  • Assists with entity formation; assists with drafting of corporate organizational documents; assists
    with operations of corporations and corporate records maintenance; prepares foreign
    qualifications, dissolutions and withdrawals
  • Prepares and files documents and forms for ongoing corporate operations, including directors
    and shareholders’ resolutions, and amendments to articles of incorporation
  • Assists with the preparation and filing of UCCs, including continuation and termination
    statements; analyzes UCC search results; prepares UCC and lien summary charts; researches
    filing requirements in various states; calendars expiration dates
  • Prepares stock certificates; maintains stock ledgers and capitalization tables
  • Maintains entity minute books and entity ledgers for various clients
  • Prepares applications for federal employer identification numbers
  • Redlines, proofreads, and conforms/normalizes defined terms throughout documents
  • Conducts research and performs library and online searches; retrieves reference materials from
    outside libraries that may not be readily available
  • Knowledge of the workings of a corporation, and a general understanding appropriate for a
    paralegal, of federal and state securities laws, and research
  • Experience working with governmental agencies and service companies, including Secretary of
    State, Department of Corporations and SEC to file and retrieve documents
  • Retains day to day responsibility for performance of general paralegal duties
  • Assists with other department activities as needed, and performs additional duties and
    responsibilities as assigned

  • Demonstrated attention to detail, reliability and ability to learn new technology quickly
  • Excellent client service skills and ability to work on multiple matters simultaneously in an
    organized manner and under minimal supervision
  • Flexibility and able to respond quickly and positively to shifting demands
  • Position also requires the ability to work under pressure to meet strict deadlines

Qualifications & Prior Experience:

  • Bachelor’s Degree and Paralegal Certification preferred; equivalent experience considered
  • Minimum of 2 years corporate experience within a law firm with demonstrated knowledge of complex issues within the Corporate & Securities practice area
  • Computer proficiency in Windows-based software and Microsoft Office Suite applications including Word, PowerPoint, Excel and Outlook
  • Familiar with Secretary of State databases
  • Familiar with practice specific technology (Edgar, service company sites, etc.)
  • Exceptional computer skills with the ability to learn new software applications quickly
